FINDLAY, Ohio, June 17, 2021 /PRNewswire/ -- Marathon Petroleum Corp. (NYSE: MPC) today announced final results of its "modified Dutch auction" tender offer, which expired at midnight, New York City time, at the end of the day on June 14, 2021. Based on the final count by Computershare Trust Company, N.A., the depositary for the tender offer, 15,573,364 shares of MPC's common stock were validly tendered and not validly withdrawn at or below the final purchase price of $63.00 per share, including shares that were tendered through notices of guaranteed delivery.In accordance with the terms of the conditions of the tender offer, MPC accepted for payment an aggregate of 15,573,364 shares, representing approximately 2.4% of the shares issued and outstanding as of June 11, 2021, at a purchase price of $63.00 per share, for an aggregate purchase price of approximately $981 million, excluding fees and expenses related to the tender offer.
