Why overpaid CEOs may be a red flag for stock-market investors At first glance, observers might think that the most highly paid corporate executives earn their money through the kind of leadership that leads to strong performance and gains in the company’s stock. That may not be the case. While overpaid executives may not be a red flag for investors by themselves, a company’s pay practices can become a warning signal if attempts to rein in paid fail repeatedly, analysts at Morgan Stanley wrote. “We find that failure to resolve compensation concerns (i.e., repeat say-on-pay defeats) can signal governance and/or stock performance risks,” the investment bank said in a Tuesday note. “A failed vote clearly indicates some level of misalignment between a company and its shareholders. We view say-on-pay results as an important indicator of both the health of a company’s governance practices and overall shareholder satisfaction.
