STEVENSON, Md.--(BUSINESS WIRE)-- The securities litigation law firm of Brower Piven, A Professional Corporation, has commenced an investigation into possible breaches of fiduciary duty and other violations of state law by the Board of Directors of FBR & Co. (Nasdaq: FBRC) (“FBR” or the “Company”) relating to the proposed buyout of FBR by B. Riley Financial Inc. (“B. Riley”). Under the terms of the agreement, FBR shareholders are anticipated to receive 0.671 of a share of B. Riley and a pre-closing cash dividend of $8.50 for each share of FBR common stock they own, representing consideration of $18.90 based on B. Riley’s February 23, 2017 closing price.
