Alpharetta, Feb. 09, 2021 (GLOBE NEWSWIRE) -- On 27 January 2021, the board of directors of AMS Holdco 2 Limited (“SWM Bidco”), an indirectly wholly-owned subsidiary of Schweitzer-Mauduit International, Inc. (“SWM”), and the board of directors of Scapa Group plc (“Scapa”), announced (the “Announcement”) their agreement on the terms of a recommended cash offer by SWM Bidco for the acquisition of the entire issued and to be issued ordinary share capital of Scapa (the “Offer”). Capitalised terms used and not defined herein have the meaning given to them in the Announcement. SWM has entered into an amendment to its existing Credit Agreement to, among other things, add a new $350 million Term Loan B facility with a seven-year maturity (the “Term Loan B”). SWM commenced the syndication of the Term Loan B facility on 9 February 2021, which is expected to be completed by 23 February 2021.
