The deal consideration was 36,000 Series A-2 convertible preferred shares valued at $36M (stated value $1,000 each). The preferred shares are convertible into common stock at $2.731 per share, subject to adjustments and a 9.99% ownership cap. Aditxt also issued $3.19M in promissory notes (9-month maturity) with $2.875M funded at closing and 6% interest (12% upon default). The company said the acquisition restores its stockholders' equity above $2.5M, helping it regain compliance with Nasdaq. ADTX shares tumble over 37%.
