(TSXV: AU) (OTCQX: AIRRF) ("Aurion") is pleased to announce that it has entered into a definitive arrangement agreement (the "Arrangement Agreement") pursuant to which Agnico Eagle Mines Limited (TSX: AEM) NYSE: AEM) ("Agnico Eagle") has agreed to acquire all of the issued and outstanding common shares of Aurion (the "Aurion Shares"), other than the Aurion Shares currently held by Agnico Eagle, by way of a statutory plan of arrangement under the Business Corporations Act (British Columbia) (the "Transaction"). Agnico Eagle is Canada's largest mining company and the second largest gold producer in the world, operating mines in Canada, Australia, Finland and Mexico.
