Calhoun, who announced in March that he is stepping down at the end of year , would see a 45% year-over-year pay raise -- to $32.8M -- if the measure goes through at the aerospace giant's annual meeting on May 17. ISS noted that the Boeing board "significantly increased" the exec's long-term bonuses for the third year in a row, the reported. The reasoning behind this latest boost is not "particularly compelling for such a significant increase, especially given two other recent increases since Calhoun became CEO in 2020," ISS wrote. ISS also took issue with a large share grant he was given as "many investors may question this additional time-based grant, in combination with the significant increase in his long-term incentive award opportunity," ISS said. Calhoun also was paid more than $514,000 for flights on private jets, with ISS explaining that this amount "significantly exceeded" the median pay for private flights for the CEOs of other S&P 500 companies.
