New York, NY, Jan. 13, 2026 (GLOBE NEWSWIRE) -- AlphaTON Capital Corp (NASDAQ: ATON) (“AlphaTON” or the “Company”), the world’s leading public technology company scaling the Telegram super app, with an addressable market of 1 billion monthly active users, today announced that it has entered into a definitive agreement for the purchase of an aggregate of 15,000,000 of its ordinary shares (or pre-funded warrants in lieu thereof), at a purchase price of $1.00 per ordinary share (or pre-funded warrant in lieu thereof) in a registered direct offering. The closing of the offering is expected to occur on or about January 14, 2026, subject to the satisfaction of customary closing conditions. H.C. Wainwright & Co. is acting as the exclusive placement agent for the offering. The aggregate gross proceeds to the Company from the offering are expected to be $15 million, before deducting the placement agent fees and other offering expenses payable by the Company.
