TORONTO, ON / ACCESS Newswire / March 2, 2026 / Justera Health Ltd. (CSE:VTAL)(OTC PINK:SCRSF) Justera " or the " Company ") announces that it signed a definitive share and asset purchase agreement (the "Share and Asset Purchase Agreement" ) with 2657953 Ontario Inc. (the "Purchaser" ) to sell all of the issued and outstanding shares of its wholly owned subsidiary, Port North Extracts Inc. ( "Port North" ) on February 26, 2026, subject to the terms and conditions set forth therein. Under the Share and Asset Purchase Agreement, and subject to the satisfaction or waiver of customary closing conditions, the Purchaser will acquire all issued and outstanding shares of Port North. In consideration for the acquisition, the Purchaser will pay $1 and assume all of Port North's indebtedness and liabilities, including all outstanding liabilities, borrowings, loans, and other indebtedness, as set forth in the agreement.
