As previously disclosed, on August 20, 2025, the Company received written notice (the "10-K Nasdaq Notification Letter") from Nasdaq notifying the Company that it did not timely file its Annual Report on Form 10-K for the fiscal year ended April 30, 2025 (the "Form 10-K").
