Summary Since my previous article on GGP ( GGP ), we have learned more details about the Brookfield Property ( BPY ) transaction. Here I examine the factors I believe GGP owners should take into account: Relative net asset values Operational expertise Portfolio mix Financial resources Alignment of interests Management fees Refusal fees Taxation Loss of voting power Competing interests My goal is not to persuade investors either way with any strong conviction , as even I have not completely made up my made about how to vote on this generally mediocre offer. That said, for now, I lean slightly towards accepting the merger. Mainly, my intentions are to: Compile the facts of the merger, and identify the things we don't know.
