platform in China, announced today the closing of a registered direct offering (the " Offering ") of approximately $4.2 million. Under the terms of the securities purchase agreement in connection with the Offering, the Company agreed to sell an aggregate of 1,500,000 Class A ordinary shares, par value $0.16 per share (the " Share s") (or pre-funded warrants in lieu thereof) at a purchase price of $2.80 per share. The purchase price for the pre-funded warrants is identical to the purchase price for the Shares, less the exercise price of $0.16 per share. The aggregate gross proceeds of this Offering to the Company were approximately $4.2 million. Univest Securities, LLC acted as the sole placement agent for the Offering.
