BURLINGTON, N.J., April 13, 2020 (GLOBE NEWSWIRE) -- Burlington Stores, Inc. (NYSE: BURL) (the “Company”) announced today that it has commenced a private offering of $700 million aggregate principal amount of convertible senior notes due 2025 (the “Notes”), subject to market and other conditions. The Company also intends to grant to the initial purchasers of the Notes an option to purchase up to an additional $105 million aggregate principal amount of the Notes. The Company intends to use the net proceeds from the offering of the Notes for general corporate purposes. The Notes will be senior, unsecured obligations of the Company and interest will be payable semi-annually in cash.Upon conversion, the Notes may be settled in shares of the Company common stock, cash or a combination of cash and shares of the Company common stock, at the Company’s election.
