of its underwritten public offering by two of its stockholders (the "Selling Stockholders"), affiliates of The Carlyle Group Inc. and GIC, of an aggregate of 50,000,000 shares of the Company's common stock, par value $0.01 per share ("Common Stock"), at a price to the public of $31.00 per share. The Selling Stockholders will receive all of the net proceeds from this offering. No shares are being sold by the Company. The offering is expected to close on January 29, 2026, subject to the satisfaction of customary closing conditions. The Selling Stockholders granted the underwriters a 30-day option to purchase up to an aggregate of 7,500,000 additional shares of Common Stock. Morgan Stanley & Co. LLC, J.P.
