the " Company ") is pleased to announce that it intends to complete a non-brokered private placement of up to 15,000,000 units of the Company (" Units ") at a price of $0.20 per Unit for gross proceeds of up to $3,000,000 (the " Offering "). Each Unit will consist of one common share in the capital of the Company (a " Share ") and one-half of one Share purchase warrant (each whole warrant, a " Warrant "). Each Warrant will entitle the holder thereof to acquire one additional Share (a " Warrant Share ") at a price of $0.30 per Warrant Share for a period of two (2) years from the date of distribution. The Company intends to use the net proceeds from the Offering for exploration and development on the Company's Palmer Project, Madison Project, other mineral exploration and development projects, and for general corporate purposes.
