The measure involves issuing a new class of nonvoting and nonparticipating exchangeable shares, with a special meeting set for April 12 at 1 p.m. Eastern time. ISS believes the proposal will help Canopy Growth and its shareholders remain compliant with applicable U.S. federal law. The vote also authorizes a conversion feature, allowing each common share to be converted into one exchangeable share.
