The banks issued a joint news release on Tuesday afternoon, Jan. 6, announcing that Fifth Third shareholders voted 99.7% in favor of the deal while Comerica shareholders voted 97% in favor. The voting took place Tuesday morning. The sale is still subject to approval by the Federal Reserve Board. The combined Fifth Third-Comerica would be the ninth-largest U.S. bank with $290 billion in reported assets. Bank officials have said that Dallas-based Comerica would fully rebrand as Fifth Third Bank by late 2026 or early 2027 — including with a new name for Comerica Park where the Detroit Tigers play. One activist investor, known as HoldCo Asset Management, had urged Comerica shareholders to vote down the deal, contending that it undervalues Comerica and that shareholders could get a better deal by restarting the sale process.
