IRVING, Texas, Nov. 12, 2025 /PRNewswire/ -- Commercial Metals Company (NYSE: CMC) ("CMC" or the "Company") announced today that it intends to offer to sell, subject to market and other conditions, $2,000 million in aggregate principal amount of new senior unsecured notes (the "Notes") in an offering (the "Offering") exempt from the registration requirements of the Securities Act of 1933, as amended (the "Securities Act"). Final terms of the Offering will be determined at the time of pricing. The Notes will be CMC's senior unsecured obligations and will rank equally with all of its existing and future senior unsecured indebtedness. CMC intends to use the net proceeds from the sale of the Notes to fund the purchase price for the Company's previously announced acquisition of all of the issued and outstanding equity securities of entities that own Foley Products Company, LLC (such transaction, the "Foley Acquisition") and tr
