ATLANTA--(BUSINESS WIRE)--Carter’s, Inc. (“Carter’s”) (NYSE: CRI) today announced that its wholly-owned subsidiary, The William Carter Company (the “Company”), intends to commence an offering of $500,000,000 aggregate principal amount of senior notes due 2031 (the “notes”), subject to market and other conditions.The Company intends to use the net proceeds from this offering of notes, together with cash on hand, to (i) redeem all of its outstanding 5.625% senior notes due 2027 (the “2027 Notes”) and (ii) pay related fees and expenses. This press release does not constitute a notice of redemption or an offer to redeem or purchase any of the outstanding 2027 Notes.The notes and the related guarantees are being offered and sold to persons reasonably believed to be “qualified institutional buyers” pursuant to Rule 144A under the Securities Act of 1933 (as amended, the “Securities Act”) and to non-U.S. persons outside the United States pursuant to Regulation S under the Securities Act.
