an agreement to resolve their application for an award of attorneys' fees and reimbursement of expenses (the “Fee and Expense Application”) in a lawsuit pending in the Delaware Court of Chancery (the “Court”) captioned Assad v. Hess Corporation, et al. , Case No. 2024-0468-NAC (Del. Ch.) (the “Action”). The Firms, who represent the plaintiff in the Action, sought an award of attorneys' fees and expenses for claimed corporate benefits to stockholders of defendant Hess Corporation (“Hess”) conferred as a result of the litigation of the Action. Defendants in the Action opposed the Fee and Expense Application. On October 22, 2023, Hess, a Delaware corporation, entered into an Agreement and Plan of Merger (the “Merger Agreement”) with Chevron Corporation, a Delaware corporation (“Chevron”) and Yankee Merger Sub Inc., a Delaware corporation and a direct, wholly owned subsidiary of Chevron (“Merger Subsidiary”).
