to announce that it has successfully completed a non-brokered private placement of 2,740,236 common shares of the Company (each, a " Common Share ") at a price of C$5.46 per Common Share for aggregate gross proceeds of approximately C$15 million (the " Offering Varvara Development Group Ltd.
