(“Shift4” or the “Company”) (NYSE: FOUR), announced today, in connection with the 10,000,000 shares of 6% Series A Mandatory Convertible Preferred Stock issued on May 5, 2025, consistent with the terms laid out in the offering, the Board of Directors has declared a dividend of $1.50 per share to be paid in cash on February 2, 2026 to holders of record as of the close of business on January 15, 2026.Subject to the terms of the Mandatory Convertible Preferred Stock, and as described further in the prospectus supplement filed by the Company with the Securities and Exchange Commission on May 2, 2025, the declaration and payment of future quarterly dividends, if any, will be at the sole discretion of the Board of Directors based on its consideration of various factors, including the company’s operating results, financial condition and anticipated capital requirements.Additional information regarding the Series A Mandatory Conve
