Groupon Inc. said Monday it has adopted a shareholder rights plan, also known as a "poison pill," given the impact that the COVID-19 pandemic has had on its stock price. The rights plan, which will expire in March 2021, will be exercisable if an investor or investor group becomes a beneficial owner of 10% or more of the online-deals company. If the plan becomes exercisable, each rights holder will be entitled to buy a number of shares at an exercise price that is half that of the market value of the shares at that time. The stock, which rose 2.9% in premarket trading, has plunged 66.1% over the past three months through Thursday, while the S&P 500 has lost 15.2%.
