footprint into high-growth corridors (Barry, Calhoun, Allegan, Kent and Ottawa counties) and aims to use HCB's local presence and liquidity to boost Independent's commercial lending pipeline. HCB brings a compact, high-quality franchise with a $354 million loan portfolio, a 67% loan-to-deposit ratio, near-zero nonperforming assets and zero net charge-offs since 2020, which management says strengthens Independent's low-cost deposit base and credit profile. The deal values HCB at about $70.2 million (fixed exchange of 1.59 Independent shares plus $17.51 cash per HCB share; 75% stock / 25% cash ), is projected to be roughly 6% accretive to 2027 EPS with 4% tangible book dilution at close and a ~3.4-year earnback, and is expected to close in early Q3 2026 with modeled cost savings equal to 40% of HCB non-interest expense by 2027.
