This represents year-on-year declines of 28.8% in deal count and 33.9% in deal value. PitchBook defines a middle-market company as one acquired through a transaction valued between $25 million and $1 billion. The drop-off is particularly striking, coming amid an improving picture for middle-market exits overall. There were 1,022 exits in the US middle market in 2025, totaling $140.4 billion, representing annualized increases of 11.6% and 5.6%, respectively. While risk appetite recovered somewhat among PE sponsors compared with 2024, corporates remained reluctant to do middle-market deals, according to Kyle Walters, a private equity analyst at PitchBook.
