aggregate principal amount of convertible senior notes due 2031 (the "Notes") in a private offering, which represents a $100.0 million increase from the previously announced size of the offering. The Company also granted the initial purchasers of the Notes an option to purchase up to an additional $150.0 million aggregate principal amount of the Notes within a 13-day period beginning on, and including, the date on which the Notes are initially issued. The offering of the Notes and the capped call transactions described below are expected to be completed on or about January 9, 2026, subject to customary closing conditions. The Notes will be the Company's senior unsecured obligations and will be jointly and severally guaranteed on a senior unsecured basis by each of the Company's subsidiaries that guarantees the Company's existing revolving credit facility.
