agreed to purchase, on a "bought deal" basis, 11,112,000 units of the company at a price of C$0.90 per unit for gross proceeds of about C$10 million. Each Unit will consist of one common share of the company and one-half of one common share purchase warrant. Each warrant will entitle the holder thereof to purchase one common share at an exercise price of C$1.20 for a period of 36 months from the closing of the offering. The company intends to use the net proceeds to fund exploration and development expenditures at the DeLamar Project, the Nevada North Project, and for working capital and general corporate purposes.
