SAN DIEGO, April 30, 2019 (GLOBE NEWSWIRE) -- San Diego (April 30, 2019) – ImageWare® Systems, Inc. (OTCQB: IWSY), a leader in mobile and cloud-based two-factor, multi-factor, and biometric multi-modal authentication and identity management solutions today announced that it has received subscriptions from institutional investors for the sale of 4,545,455 shares of its common stock at an offering price of $1.10 per share for expected gross proceeds to ImageWare of $5.0 million. ImageWare expects to accept the subscriptions and deliver the shares of common stock on or about May 1, 2019. ImageWare intends to use the net proceeds received from the sale of the common stock for general corporate purposes. The shares of common stock described above are being offered by ImageWare pursuant to a shelf registration statement previously filed with the Securities and Exchange Commission (the “SEC”) on June 28, 2018 and declared effective on July 10, 2018 (the “Registration Statement”).
