offering (the "Offering") by certain affiliates of GEC Advisors LLC (the "Selling Stockholders") of an aggregate of 7,800,000 shares of Flowco's Class A common stock. The Selling Stockholders have also granted the underwriters a 30-day option to purchase up to an additional aggregate 1,170,000 shares at the public offering price, less underwriting discounts and commissions. The Offering is subject to market and other conditions, and there can be no assurance as to whether or when the Offering may be completed. Flowco is not issuing or selling any shares of Class A common stock in the offering and will not receive any proceeds from the shares of Class A common stock sold by the Selling Stockholder, except as set forth in the prospectus supplement relating to the offering.
