On November 24, the company entered into a securities purchase agreement pursuant to which it will issue and sell an aggregate of 689,655 Class A Ordinary Shares to an investor for $1.45 per share. The offering will result in total gross proceeds of approximately $1,000,000 before deducting fees and offering expenses payable by the company. Subject to customary closing conditions, the PIPE is expected to close on or before December 3, 2025.
