In a concerning turn of events, it's now clear that the same is true for corporate officers for risks within their scope of responsibility—an especially difficult charge for CEOs, CFOs and general counsel, given the enterprise-wide nature of their jobs. Proving in a Delaware court of law that directors and officers utterly failed to oversee compliance at their company is difficult. But that doesn't mean that shareholders won't sue them for allegedly failing to do so. In this article, I'll discuss a brief background on the duty of oversight and Caremark litigation. I'll then discuss how a recent case involving McDonald's has expanded the scope of liability for oversight beyond directors to include corporate officers.
