FINDLAY, Ohio and SAN ANTONIO, Aug. 3, 2018 /PRNewswire/ -- Marathon Petroleum Corp. (NYSE: MPC) and Andeavor (NYSE: ANDV) today filed a joint definitive proxy statement and prospectus with the U.S. Securities and Exchange Commission regarding the pending merger pursuant to which MPC has agreed to acquire all of Andeavor's outstanding shares. A special meeting of Andeavor stockholders has been set for Monday, Sept. 24, 2018, at 9 a.m. Central Time at the JW Marriott San Antonio, 23808 Resort Parkway, San Antonio, Texas 78261, to approve the previously announced Agreement and Plan of Merger, dated April 30, 2018, by and among Andeavor, MPC and certain wholly owned subsidiaries of MPC, and other matters related to the merger.
