the "Company") (OTCQX: MRAI), an independent national Third-Party Administration ("TPA") company today announced a private placement for the purchase and sale of 147,058 shares of common stock to HillCour Investment Fund, LLC ("HillCour"), an entity controlled by the Company's Chief Executive Officer, Damien Lamendola, at a price of $1.36 per share for aggregate gross proceeds of approximately $200,000. The Company intends to use the net proceeds from the offering for general corporate purposes, including accelerating the deployment of advanced product offerings, expanding and enhancing Marpai's technology platform and deepening market penetration among self-funded employer groups nationwide.
