Discovery, with it valuing the latter at EV/sales of 2.28x and EV/EBITDA of 8.37x, below most entertainment peers' multiples. Significant debt risks arise for both NFLX and Paramount Skydance, but NFLX is better capitalized to absorb the acquisition's leverage, given the robust cash flow, interest coverage, and balance sheet health. Antitrust hurdles are likely to prolong or derail both NFLX and PSKY bids, given the combined TV/D2C market share and regulatory scrutiny surrounding monopoly/pricing risks. This is barring drastic remedies and/or concessions to satisfy both competitors and regulators, similar to MSFT's prior acquisition of Activision. I rate WBD as a sell given the limited upside beyond $30, and NFLX as a buy upon further correction below $85.50, if not $70, with numerous caveats.
