("NewcelX" or the "Company") completed the previously announced merger transaction, pursuant to that certain Agreement of Merger and Plan of Reorganization, as amended from time to time, dated as of November 4, 2024 (the "Merger Agreement"), by and among NewcelX (f/k/a NLS Pharmaceutics Ltd. (NASDAQ: NLSP) (NASDAQ: NLSPW) ("NLS")), NLS Pharmaceutics (Israel) Ltd. and Kadimastem Ltd. ("Kadimastem"), effective as of October 30, 2025 (the "Merger"). Upon completion of the Merger, the Company changed its name to NewcelX Ltd. and, commencing on October 31, 2025, its ticker symbol on the Nasdaq Capital Market will be "NCEL." The traded warrants of the Company will be delisted from trading.
