Glass Lewis now recommends shareholders withhold their support for the six current directors on the Norfolk Southern ( NSC ) board including Chair Amy Miles and CEO Alan Shaw with a combined tenure of four decades at the railroad. The firm is encouraging shareholders to vote instead for the six board members nominated by activist investor Ancora Holdings along with Ancora's nomination for CEO, former UPS executive Jim Barber. Under the direction of the current board, Norfolk Southern has underperformed its peers in the industry for an “extended period,” and the company's current operating strategy relies on “inherently incompatible railroading concepts,” Glass Lewis said. “Glass Lewis affirms our view that several tenured insiders including Chair Amy Miles, Director Claude Mongeau and CEO Alan Shaw, should be immediately replaced due to their apparent responsibility for sustained underperformance,” Ancora said in a statement on Monday.
