closing of its previously announced private offering of $862.5 million aggregate principal amount of 3.500% convertible senior notes due 2029 (the "notes") in a private offering to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the "Securities Act"). The offering represents the aggregate of both the previously announced offering of $750.0 million, as well as the full exercise of the $112.5 million option to purchase additional notes granted by Realty Income to the initial purchasers of the notes. The net proceeds from the offering were approximately $845.5 million, after deducting the initial purchasers' discounts and commissions and Realty Income's estimated offering expenses.
