Prosperity Bank ® , and Southwest Bancshares, Inc. ("Southwest"), the parent holding company of Texas Partners Bank ("Texas Partners"), headquartered in San Antonio, Texas, today jointly announced the signing of a definitive merger agreement whereby Prosperity will acquire Southwest and Texas Partners. Texas Partners operates eleven (11) banking offices in Central Texas including its main office in San Antonio, and banking offices in the San Antonio area, Austin and the Hill Country. As of June 30, 2025, Southwest, on a consolidated basis, reported total assets of $2.4 billion, total loans of $1.9 billion and total deposits of $2.1 billion. Under the terms and subject to the conditions of the definitive agreement, Prosperity will issue 4,062,520 shares of Prosperity common stock for all outstanding shares of Southwest common stock and restricted stock awards, subject to certain potential adjustments.
