a non-brokered private placement of up to 3,750,000 common shares (the " Shares ") of the Company. The private placement offering (the " Offering ") will be at $0.08 (CAD) per share to raise gross proceeds of up to $300,000. The closing of the private placement will be pursuant to the policies of the Canadian Securities Exchange (“CSE”). The net proceeds of the Offering will be used to advance exploration activities at the Jeanette Lithium Property as well as for general working capital.
