S&P Global affirmed Crescent's ( CRGY ) B+ rating and revised its outlook to Positive, reflecting the combined company's increased size, scale and lower pro-forma cost structure. The deal is structured as a cash-election merger with shareholders able to elect to receive $38/share in cash up to a maximum total cash consideration of $400M; the deal is targeted to close by the end of Q3. Earlier Wednesday, Kimmeridge Energy Management said it withdrew its independent nominees to SilverBow Resources' ( SBOW ) board in light of the company's pending sale to Crescent Energy ( CRGY Kimmeridge had sought to buy SilverBow ( SBOW ) and was aiming to unseat three current directors and install its own nominees at SilverBow's upcoming annual shareholder meeting.
