BOSTON--(BUSINESS WIRE)--Skillsoft (NYSE: SKIL) (“Skillsoft” or the “Company”), the leading AI-native skills management platform built for the human + AI era, today announced that on February 18, 2026, the Talent and Compensation Committee of Skillsoft’s Board of Directors (the “Committee”) made a grant of 95,000 restricted stock units (“RSUs”) of the Company’s Class A common stock to Bernard Barbour. The grant of RSUs was offered as a material inducement to Mr. Barbour’s hiring as Chief Technology and Product Officer on December 8, 2025, and was made under Skillsoft’s 2024 Employment Inducement Incentive Award Plan, as amended. Half (50%) of such RSUs vest ratably over four years; and the remaining 50% represent a target amount granted, from 0% up to 175% of which vest on January 1, 2029 based on the achievement of specified annual revenue growth targets established by the Board of Directors and certified by the Committee, in each case, subject to Mr. Barbour’s continued employme
