Under the Offering, Westaim, through its wholly-owned subsidiary, Westaim HIIG GP Inc. (the “Selling Stockholder”), intends to sell 4,400,000 shares of the common stock of Skyward Specialty (the “Shares”), at a price of US$36.50 per Share (the “Offering Price”).
