12,125,000 ordinary shares, par value per share, at a public offering price of per share, for aggregate gross proceeds of approximately , prior to deducting underwriting discounts and other offering expenses. EF Hutton LLC ("EF Hutton") is acting as the sole book running manager for the offering. Ruskin Moscou Faltischek, P.C. is acting as legal counsel to the Company, Lucosky Brookman LLP is acting as legal counsel to EF Hutton. The offering is being conducted pursuant to the Company's registration statement on Form F-1, previously filed January 30, 2024 with the Securities and Exchange Commission ("SEC"), as amended on February 8, 2024 and February 14, 2024 (File No. 333-276760), that was declared effective by the SEC on February 15, 2024 .
