(Nasdaq: SPRC) (“Company” or “SciSparc”), a specialty clinical-stage pharmaceutical company focusing on the development of therapies to treat disorders and rare diseases of the central nervous system, announced today the closing of the transactions under the asset and share purchase agreement by and among the Company, Miza III Ventures Inc. and SciSparc Nutraceuticals Inc. (the “Agreement”). Pursuant to the Agreement, SciSparc received a controlling interest in Neurothera Labs Inc. (formerly known as Miza III Ventures Inc.) (TSXV:NTLX) (“Neurothera”), a publicly traded company on the TSX Venture Exchange (the “TSXV”) in Canada, and the Company transferred to Neurothera its advanced clinical stage pharmaceutical portfolio and its equity stake of approximately 51% in SciSparc Nutraceuticals Inc.
