a non-brokered private placement (the “ Private Placement ”) of a minimum of 10 units (each, a “ Unit ”) and a maximum of 16 Units at a price of $250,000 per Unit, for minimum and maximum gross proceeds of $2,500,000 and $4,000,000, respectively. Each Unit will consist of: (i) one $250,000 unsecured convertible debenture (each, a “ Debenture ”), and (ii) 3,571,429 share purchase warrants (each, a “ Warrant ”). Each Debenture will have a term of 24 months (the “ Term ”) and will bear interest at a rate of 7% per annum, payable in cash. At the option of the issuer, the principal amount of each Debenture may be converted, at any time during the Term, into common shares of the Company (each, a “ Share ”) at a price of $0.055 per Share. Each Warrant will entitle the holder to acquire one Share at a price of $0.07 per Share at any time during the Term.
