Sale of Centuri completed a “transformational” shift to a pure-play regulated utility, enabling repayment of holding-company debt, an S&P upgrade to BBB+ , nearly $600 million cash and $1.3 billion liquidity to redeploy, and a ~ $260 million net gain that added to 2025 GAAP EPS while continuing-ops adjusted EPS rose ~ to CEO Karen Haller will retire after nearly 30 years with Justin Brown named CEO effective May 8 (Haller to advise through year-end), and management set 2026 adjusted EPS guidance of $4.17–$4.32 with a long-term adjusted EPS CAGR target of 12%–14% through 2030 while raising the dividend 4% to annually. Regulatory and growth initiatives include an Arizona rate case filed this week seeking $100 million in revenue (requested ROE , ~ $5/month residential impact), a Nevada filing next month, and the planned Great Basin Expansion Project targeting ~ 800 mmcf/d and an estimated $1.7 billion of project capex as part of a $6.3 billion five-year capital plan.
