("Third Coast") (NYSE & NYSE Texas: TCBX), the parent company of Third Coast Bank, and Keystone Bancshares, Inc. ("Keystone"), the parent company of Keystone Bank, SSB ("Keystone Bank"), today jointly announced the signing of a definitive merger agreement pursuant to which Third Coast will acquire Keystone in a stock and cash transaction valued at approximately $123 million based on Third Coast's closing stock price as of October 21, 2025. Once the transaction is completed, the combined company will have pro forma total assets in excess of $6 billion.
