AUSTIN, Texas and NEW YORK, Dec. 11, 2025 (GLOBE NEWSWIRE) -- T1 Energy Inc. (NYSE: TE) ( “T1,” “T1 Energy” or the “Company”) today announced the pricing of its previously announced underwritten public offerings of $140.0 million aggregate principal amount of its 5.25% convertible senior notes due 2030 (the “Convertible Notes” and such offering, the “Convertible Notes Offering”) and 28,282,830 shares of its common stock at a public offering price of $4.95 per share (the “Common Stock Offering” and together, the “Offerings”). The Convertible Notes Offering was upsized from the previously announced $120.0 million aggregate principal amount of Convertible Notes. The Company estimates that the net proceeds from the Offerings will be approximately $264.3 million, after deducting underwriting discounts and commissions and T1 Energy’s estimated offering expenses.
