The $3.5 billion deal, first announced in August 2025 , was approved by the Federal Communications Commission and Department of Justice and quickly closed on Thursday, March 19. Why was the Nexstar-Tegna deal controversial? A group of eight states, along with DirecTV, filed lawsuits trying to prevent the deal, arguing that the consolidation would raise prices and harm consumers, according to a news release from California Attorney General Rob Bonta The merger required the FCC to issue a waiver for a rule that limits broadcast television owners from owning stations that reach more than 39% of U.S. households. Nexstar said the combined company would reach 80% of households. The FCC also issued a waiver allowing the combined company to own multiple stations in some markets.
