HOLLYWOOD, Fla.--(BUSINESS WIRE)--Acuren Corporation (the “Company”) (NYSE: TIC), which has announced its intention to rebrand as TIC Solutions, Inc., today announced that it has entered into a definitive agreement to sell $250 million of the Company’s securities in a private placement (the “Private Placement”) to an existing investor (the “Shareholder”). Pursuant to the terms of the agreement, the Company will sell approximately 20.8 million shares of its common stock (“Common Stock”) at $12.00 per share (or in lieu thereof, pre-funded warrants with an exercise price of $.0001 per share). The Private Placement is expected to close on or about October 7, 2025, subject to customary closing conditions. The Company intends to use the proceeds from the Private Placement for general corporate purposes.Jefferies LLC acted as the sole placement agent for the Private Placement.The securities to be sold in this Private Placement have not been registered under the Securities Act of 1933, as
